Terms of Service

UpgradIQ is operated by UpgradIQ, Inc., a company incorporated in Delaware, United States. References to "UpgradIQ", "we", "us", or "our" in these terms refer to UpgradIQ, Inc.

To use UpgradIQ, you must create an account and select a paid subscription plan. You are responsible for maintaining the security of your account credentials. You may not share your account with others or allow multiple people to access the platform under a single subscription.

You must be at least 18 years old to create an account. By creating an account, you represent that you have the authority to enter into these terms on behalf of yourself or the organisation you represent.

UpgradIQ offers paid subscription plans billed monthly or annually. All prices are listed in US dollars. Subscriptions begin immediately upon payment and renew automatically at the end of each billing period unless cancelled.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period - you retain access until then. We do not offer prorated refunds for unused time within a billing period.

If a payment fails, we will notify you by email and attempt to collect payment again. If payment is not resolved within 7 days, your account will be placed in read-only mode. If payment is not resolved within 30 days, your account may be suspended.

We reserve the right to change our pricing with 30 days notice. Existing subscribers will be notified by email before any price change takes effect.

Your subscription gives you the right to use the UpgradIQ platform for your own fundraising activities. You may upload documents, create data rooms, manage investor relationships, and share content with investors and your team as intended by the platform.

You may not:

• Resell or sublicense access to the platform
• Use the platform to store or share illegal content
• Attempt to access another user's account or data
• Use automated tools to scrape or extract data from the platform
• Reverse engineer or attempt to extract the source code of the platform
• Use the platform in any way that violates applicable law

You own the content you create and upload to UpgradIQ. We do not claim ownership of your documents, business plans, pipeline data, or any other content you add to your workspace.

By uploading content to UpgradIQ, you grant us a limited licence to store and process that content solely for the purpose of providing the service to you. We do not use your content to train AI models or share it with third parties except as described in our Privacy Policy.

You are responsible for ensuring that content you upload does not infringe the rights of others or violate any applicable law.

We aim to keep UpgradIQ available and reliable. We do not guarantee 100% uptime. We will notify users in advance of planned maintenance where possible. In the event of unexpected downtime, we will communicate status updates promptly.

We are not liable for any losses resulting from temporary unavailability of the platform, provided we act in good faith to restore service promptly.

The UpgradIQ platform, including its design, code, templates, and features, is owned by UpgradIQ, Inc. and protected by applicable intellectual property laws. Nothing in these terms transfers ownership of the platform or any part of it to you.

The 244 document templates included in the platform are provided for your use within UpgradIQ. You may not distribute, resell, or publish these templates independently.

UpgradIQ is provided as a tool to assist with fundraising preparation and management. We are not responsible for the outcomes of your fundraising process, the decisions made by investors, or any financial results.

To the maximum extent permitted by law, UpgradIQ's total liability to you for any claim arising from your use of the platform is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, or consequential damages, including loss of data, loss of revenue, or loss of business opportunity.

You may terminate your account at any time by cancelling your subscription and requesting account deletion. We will process deletion within 30 days.

We may suspend or terminate your account if you violate these terms, fail to pay for your subscription, or if required by law. We will give reasonable notice before termination except where immediate action is required for security reasons.

These terms are governed by the laws of the State of Delaware, United States. Any disputes arising from these terms or your use of UpgradIQ will be resolved in the courts of Delaware.

We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the platform after that date constitutes acceptance of the updated terms.
